Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Reyly platform, including our website, mobile application, and all related services (collectively, the "Platform"), operated by Reyly, Inc. ("Reyly," "we," "our," or "us").

By creating an account, starting a trial, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

These Terms should be read alongside our Privacy Policy, which is incorporated herein by reference.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Account Registration and Security

To access most features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and not share them with any third party
• Notify us immediately at legal@reyly.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

Reyly supports the following sign-in methods: email and password, and Google Sign-In. Your password is stored as a one-way cryptographic hash; Reyly cannot recover it. You may reset your password at any time through the Platform.

We may require you to verify your identity via a one-time password (OTP) sent by SMS to your registered mobile number to complete registration or sensitive account changes. OTP codes expire after 10 minutes and are limited to 5 attempts before a temporary lockout is applied.

3. Subscription and Membership

3.1 Subscription Plans

Access to Reyly's core savings features requires a paid monthly subscription. Subscription pricing is set by Reyly and is displayed clearly before you complete purchase. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

3.2 Free Trial

We may offer a free trial period for new subscribers. During your trial:

• Your savings breakdown and recommendations are fully visible
• Perks and the digital pass marketplace are accessible in preview mode but require an active paid membership to redeem
• The free monthly movie ticket benefit is visible but locked until your first successful billing cycle completes
• Your payment method is captured via Stripe at trial start and will be charged automatically when the trial ends unless you cancel before that date

The length of the trial period is displayed at sign-up and may vary based on promotions. Trial periods are available to new subscribers only.

3.3 Automatic Renewal

Your subscription renews automatically at the end of each billing cycle until you cancel. By subscribing, you authorize Reyly to charge your payment method on file on a recurring monthly basis. You will receive a notification before each renewal charge.

3.4 Payment Methods

Reyly accepts payment via:

• Credit and debit cards (processed by Stripe)
• PayPal
• Apple Pay (available on supported Safari and iOS devices, facilitated via Stripe)

Your payment details are handled directly by our payment processors and are not stored on Reyly servers. Stripe and PayPal tokenize your payment method and provide Reyly with a secure reference only.

3.5 Payment Failures and Grace Period

If a subscription payment fails, the following process applies:

• We notify you of the failure by email and, if enabled, by SMS to your registered mobile number
• Stripe automatically retries the charge according to its retry schedule
• If all retries fail, your account enters a Grace Period during which you retain limited access to the Platform
• If payment is not received before the Grace Period expires, your account is suspended
• You may reactivate your account at any time by updating your payment method and completing a successful charge

The length of the Grace Period is set by Reyly's administrators and may change. The current Grace Period duration is displayed in your account settings.

3.6 Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing cycle — you retain access to paid features until that date. Reyly does not provide prorated refunds for unused portions of a billing period, except as required by applicable law.

4. Savings Optimization Engine

The Reyly savings engine analyzes the service plan information you provide — including your wireless carrier and plan, internet provider and plan, streaming subscriptions, and ZIP code — and applies rule-based logic to estimate potential savings and recommend actions.

5. Perks and Free Movie Ticket

5.1 Perks

Active paid members may access perks made available by Reyly, including discount codes and promotional offers. Perks are created and managed by Reyly's administrators and are subject to:

• Availability and stock limits set by Reyly
• Expiration dates specified at the time of the perk offer
• Redemption limits (each perk may have a maximum number of redemptions)

Perks are not redeemable for cash and have no monetary value unless otherwise stated. Reyly reserves the right to modify, suspend, or discontinue any perk at any time without liability.

5.2 Free Monthly Movie Ticket

Active paid members receive one (1) free movie ticket benefit per billing cycle, with a value of up to $15.00 USD. The following conditions apply:

• The ticket is generated at the start of each billing cycle and expires within the period specified at the time of issuance
• One ticket per billing cycle per account — unused tickets do not carry over
• The benefit is visible but locked during the free trial period and unlocks only after the first successful payment
• Reyly reserves the right to modify the ticket value, expiry period, or discontinue this benefit with 30 days' notice to active members

6. Digital Passes

Reyly offers Digital Passes for purchase through the Platform's marketplace. Digital Passes are one-time purchase items separate from the membership subscription.

6.1 Purchase

Digital Passes may be purchased by any registered user regardless of membership status. Purchases are processed via Stripe, PayPal, or Apple Pay. A purchase confirmation and invoice are emailed upon successful payment.

6.2 Delivery and Wallet

Upon successful purchase, Digital Passes are automatically added to your Reyly Wallet and are accessible through your account. Each Digital Pass has an expiry date specified at the time of purchase.

6.3 Refunds for Digital Passes

Digital Pass purchases are generally non-refundable once delivered to your Wallet, except where required by applicable consumer protection law. If you believe a Digital Pass was delivered incorrectly or is defective, contact us at legal@reyly.com within 7 days of purchase.

7. Wallet System

Your Reyly Wallet tracks your savings, active perks, and Digital Passes. The Wallet has three states:

• Locked: available to registered users without an active subscription — savings data is visible in preview but perks and passes are inaccessible
• Partially Unlocked: available during the free trial period — savings are visible, perks remain locked
• Fully Active: available to active paid members — all features accessible

Wallet entries (savings credits, perks, passes) are non-transferable between accounts and have no cash redemption value unless explicitly stated. Savings figures shown in your Wallet are estimates based on the savings engine and are not guaranteed amounts.

8. Affiliate Program

8.1 Participation

Reyly offers an affiliate program that allows approved participants to earn commission by referring new paying members to the Platform. Participation requires approval by Reyly's administrators.

8.2 Referral Tracking

Each affiliate receives a unique referral link. When a user clicks an affiliate link, a cookie is set in their browser. The attribution window is configurable by Reyly (currently 30 to 60 days). Attribution uses a last-click model.

8.3 Commission

Commission is earned when a referred user completes a paid membership subscription (not merely registration or trial start). Commission amounts are determined by Reyly on a per-affiliate basis and may be a flat fee or a percentage of the first payment.

Commission does not become payable until:

• The referred user's trial period has ended
• A successful payment has been received
• The applicable refund window has closed

If a referred user's payment is refunded or reversed, the associated commission is automatically rejected and any pending balance is adjusted accordingly.

8.4 Payouts

Commission payouts are processed automatically once your earned balance reaches the minimum payout threshold set by Reyly. Payouts are made via PayPal or bank transfer. Reyly is not responsible for delays caused by third-party payment processors.

8.5 Prohibited Conduct

Affiliates may not:

• Generate referral clicks or conversions through self-referral (using your own affiliate link to create your own account or purchase)
• Use misleading, deceptive, or spam-based promotion methods
• Impersonate Reyly or claim to be an authorized reseller
• Offer cash rebates or incentives to referred users without prior written approval

Violations may result in commission forfeiture and permanent removal from the affiliate program.

9. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any part of the Platform or its infrastructure
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Scrape, crawl, or use automated tools to extract data from the Platform without authorization
• Upload or transmit malware, viruses, or any malicious code
• Harass, abuse, or harm other users
• Circumvent any rate-limiting, authentication, or security measures
• Submit false or fraudulent information about your service plans to manipulate savings estimates

Reyly reserves the right to suspend or terminate accounts that violate these restrictions without prior notice.

10. Intellectual Property

The Platform and all of its content, features, and functionality — including but not limited to text, graphics, logos, software, and the savings engine — are owned by Reyly, Inc. and are protected by applicable intellectual property laws. "Reyly" and associated branding are trademarks of Reyly, Inc.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. Nothing in these Terms transfers any ownership rights to you.

11. Third-Party Services

The Platform integrates with third-party services including Stripe, PayPal, Twilio, SendGrid, Google, Firebase, and the FCC Broadband Data Collection API. Your use of these services is also subject to the applicable third-party terms and privacy policies. Reyly is not responsible for the actions, content, or policies of any third-party service.

12. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF SAVINGS ESTIMATES.

Reyly does not warrant that the Platform will be error-free, uninterrupted, or free from security vulnerabilities. We do not guarantee that any savings recommendation will result in actual savings. Use of the Platform is at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REYLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF SAVINGS, LOSS OF DATA, OR LOSS OF PROFITS, EVEN IF REYLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL REYLY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM EXCEED THE TOTAL AMOUNT YOU PAID TO REYLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Reyly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any information you submit to the Platform that is false or misleading.

15. Termination

Reyly may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms or if your account has been inactive for an extended period.

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 10, 12, 13, 14, 16, and 17) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall first be submitted to informal resolution by contacting Reyly at legal@reyly.com. If not resolved within 30 days, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in English.

YOU AND REYLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email at least 30 days before the updated Terms take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance.

If you do not agree to the revised Terms, you must cancel your subscription and stop using the Platform before the effective date.

18. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reyly regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Reyly's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without Reyly's prior written consent. Reyly may assign these Terms without restriction.
• Force Majeure: Reyly is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
